Terms of Service
The agreement between Torhash and the merchants who use it during closed beta.

1. Who these terms are between
These terms are an agreement between Torhash (“we”, “us”), operated from Ukraine, and you, the person or business using the service (“you”, “the merchant”). By using Torhash you accept these terms. If you do not accept them, do not use the service.
2. What the service is
Torhash is a software-as-a-service platform that lets a merchant run an online shop inside Telegram. It provides an admin agent the merchant works with in chat, a dedicated Telegram bot for the merchant's shop, a storefront mini app for buyers, and integrations with third-party services such as Nova Poshta, Instagram and Prom.ua.
Torhash is a tool you use to run your shop. We are not a party to any sale between you and your customers, we are not a marketplace, and we are not the seller, importer or distributor of anything you list. We do not take custody of your customers' payments.
3. Closed beta
Torhash is in closed, invite-only beta. There is no self-serve signup; access is granted from a waitlist and can be granted or withdrawn at our discretion.
Beta means what it says. The service may contain defects, features may change or be removed without notice, and data schemas may change as the product develops. We give no uptime commitment and no service level agreement. We may take the service down for maintenance, or interrupt it, without advance notice. Do not use Torhash as the only record of anything you cannot afford to lose; keep your own copy of your catalogue and your orders.
4. Eligibility and your account
To use Torhash you must be at least 18 years old and legally able to enter into this agreement, and you must be selling as a business — as a registered company, a sole proprietor, or otherwise lawfully. Your access is tied to your Telegram account; keep it secure, because anyone who controls it can act as you inside the product. Tell us promptly at ivan@torhash.app if you believe your access has been compromised.
5. Your responsibilities as a merchant
- You are responsible for what you sell and for the accuracy of your prices, product descriptions, stock and delivery terms.
- You are responsible for complying with the law that applies to your business — including Ukrainian consumer protection, e-commerce, advertising, tax and data protection law — and for issuing whatever documents your customers are entitled to.
- You are responsible for fulfilling the orders your shop takes, and for handling returns, refunds and complaints from your customers.
- You are responsible for how you handle your customers' personal data, including having a lawful basis to process it and telling your customers what you do with it.
6. The AI agent, and who is accountable for its output
Torhash generates text, product cards, replies to customers and marketing posts using a large language model. Model output can be wrong, incomplete or inappropriate. You control what the agent may do on its own and what it must show you for approval first, and you are responsible for setting those permissions in a way that suits your business.
Anything the agent publishes, sends or confirms on your behalf is treated as your content and your action, whether or not you reviewed it beforehand. We are not liable for the substance of what the agent produces. If the agent gets something wrong, tell us at ivan@torhash.app — during beta this is exactly the feedback we want.
7. Acceptable use
You may not use Torhash to:
- sell or advertise anything unlawful, including weapons, drugs and precursor substances, counterfeit or stolen goods, prescription medicines sold unlawfully, or anything under sanctions or export control;
- sell adult content, gambling, or anything requiring a licence you do not hold;
- send unsolicited bulk messages, or message people who have not engaged with your shop;
- deceive your customers about who you are, what you are selling, or what it costs;
- upload malware, attempt to gain unauthorised access to the service or to another merchant's data, or interfere with the service's operation;
- scrape, load-test, reverse engineer, decompile or copy the service, or use it to build a competing product;
- resell, sublicense or provide the service to third parties as your own;
- circumvent usage limits, or use automated means to create accounts or generate load beyond normal use.
You must also comply with the terms of the third-party platforms you use through Torhash, in particular the Telegram Terms of Service and Bot Platform rules, and the terms of Nova Poshta, Instagram and Prom.ua where you connect them.
8. Your content and your data stay yours
You own your shop's content — your brand, your product photos and descriptions, your catalogue, the instructions you write for the agent — and you own your order records and your customer data. Nothing in these terms transfers that to us.
You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt, transmit and display that content strictly for the purpose of operating the service for you: showing your storefront to buyers, letting the agent process your catalogue and conversations, and delivering your posts and messages to the platforms you have connected. This licence exists only to run the service and ends when your content is deleted.
We do not use your content or your customers' data to train our own models, and we do not permit third parties to use it to train theirs.
You can ask us for an export of your catalogue and order data at any time, and you can ask us to delete your data as set out in our Privacy Policy.
9. Data protection roles
For your customers' personal data, you are the controller and we are your processor: we process that data only to run the shop you have configured and on your instructions. For your own merchant account data, we are the controller. Our Privacy Policy describes both in detail and forms part of these terms.
10. Fees
Access during the closed beta is provided at no charge unless we agree otherwise with you in writing. We expect to introduce paid plans; if we do, we will tell you the price and the terms before any charge applies to you, and you will be free to decline and stop using the service. Fees payable to third parties — Telegram payment providers, Nova Poshta, Prom.ua and so on — are between you and them.
11. Suspension and termination
You may stop using Torhash at any time, and ask us to close your account by writing to ivan@torhash.app.
We may suspend or terminate your access if you breach these terms, if your use puts the service, another merchant, or your own customers at risk, if we are required to by law or by a platform we depend on, or if we discontinue the beta. Where circumstances allow, we will warn you first and give you a chance to put things right. For a serious breach — in particular section 7 — we may suspend immediately.
If your access ends, we will give you a reasonable opportunity to export your data before it is deleted in line with the retention periods in our Privacy Policy.
12. Availability and disclaimer
The service is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that model output will be accurate.
Torhash depends on services we do not control — Telegram, Google Cloud, Nova Poshta, Instagram, Prom.ua. If one of them changes, restricts or removes an interface we rely on, features may stop working, and we are not liable for that.
13. Limitation of liability
To the fullest extent permitted by law, we are not liable for lost profits, lost sales, lost or corrupted data, loss of goodwill, or any indirect, incidental, special or consequential damages, however caused.
Our total aggregate liability arising out of or relating to the service is limited to the greater of: the amount you paid us for the service in the twelve months before the event giving rise to the claim, or UAH 1,000. Because access during the closed beta is free of charge, in most cases this cap will be the latter.
Nothing here limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.
14. Indemnity
You will indemnify us against claims, losses and reasonable costs arising from what you sell, from your content, from your breach of these terms, or from your breach of the rights of your customers or of a third party.
15. Governing law and disputes
These terms are governed by the law of Ukraine, without regard to conflict-of-law rules. Disputes that we cannot settle by talking to each other will be resolved by the competent courts of Ukraine. Please write to ivan@torhash.app first — we would much rather fix the problem.
16. Changes to these terms
We may update these terms as the product develops. We will change the date at the top of this page, and for material changes we will notify merchants in the Torhash admin bot before they take effect. Continuing to use the service after that means you accept the updated terms.
17. General
If any provision of these terms is found unenforceable, the rest remains in force. Our not enforcing a provision on one occasion is not a waiver of it. You may not assign this agreement without our consent; we may assign it as part of a merger, acquisition or sale of assets. These terms and the Privacy Policy are the entire agreement between us about the service.
